Welcome to vited.io. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your," or "Customer") and vited.io ("vited.io," "Platform," "Company," "we," "us," or "our").

By registering an account, accessing, browsing, or purchasing paid features on the vited.io web application, mobile interfaces, or related software tools, you acknowledge that you have read, understood, and agree to be bound by all terms, conditions, and policies incorporated herein by reference.

1. Acceptance of Terms & Legal Authority

• 1.1. Contractual Binding: Access to and use of vited.io is strictly conditional upon your acceptance of these Terms. If you do not agree to all provisions contained herein, you must cease using the Platform immediately.
• 1.2. Corporate Authority: If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you possess full legal authority to bind that entity to this Agreement.
• 1.3. Electronic Consent: Creating an account, clicking "Sign Up," or making a purchase on the Platform constitutes an electronic signature having the same legal effect as a signed paper contract.

2. Account Eligibility & Registration

• 2.1. Age Requirement: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account, enter into binding agreements, or purchase Paid Features.
• 2.2. Profile Accuracy: You agree to provide true, current, and complete information during registration and to keep your profile credentials updated at all times.
• 2.3. Automated Signups: Accounts registered by "bots" or automated scripts are strictly prohibited. Each user account is intended for individual or authorized team use only.

3. Account Security & Responsibilities

• 3.1. Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials, including passwords and authentication tokens.
• 3.2. User Liability: You assume full responsibility for all activities, purchases, data entries, and modifications occurring under your registered account.
• 3.3. Unauthorized Access: You agree to notify vited.io immediately at vited.main@gmail.com upon becoming aware of any security breach or unauthorized access. vited.io shall not be held liable for losses resulting from compromised login credentials.

4. Scope of Software Services (SaaS)

• 4.1. Software Access: vited.io provides hosted event planning and management software (Software-as-a-Service). This Agreement grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform via a web browser or authorized application interface.
• 4.2. No Source Code Transfer: This Agreement does not transfer ownership or physical copies of the Platform’s backend software, code, or underlying infrastructure to you.
• 4.3. Platform Enhancements: vited.io continuously improves its system and reserves the right to deploy updates, alter existing features, or retire outdated tools at its discretion.

5. Paid Features, Subscriptions, and Billing

• 5.1. Fee-Based Features: Specific features (such as expanded guest lists, custom event interfaces, export tools, or premium workflows) require one-time fee unlocks or recurring subscription plans ("Paid Features").
• 5.2. Pricing & Taxes: Prices and feature allocations are explicitly detailed prior to checkout. All listed fees are exclusive of applicable statutory taxes (e.g., VAT) unless expressly stated otherwise.
• 5.3. Recurring Subscriptions: Recurring plans automatically renew at the end of each billing cycle (monthly or annually) unless canceled prior to the renewal date via your account settings.
• 5.4. Price Adjustments: vited.io reserves the right to modify service fees or subscription rates. Existing subscribers will receive at least thirty (30) days' advance notice prior to any price adjustments applying to subsequent billing cycles.

6. Payment Gateway & Third-Party Processing

Payment Gateway	All online payments are securely processed through our authorized partner, PayMongo Philippines, Inc.
Financial Data Security	vited.io does not collect, transmit, or store credit/debit card numbers, CVVs, or bank credentials. Financial data is encrypted and handled in compliance with PCI-DSS Level 1 standards.
Gateway Compliance	By initiating a checkout transaction, you agree to adhere to PayMongo's applicable user checkout policies and payment standards.

7. Refund & Cancellation Policy

• 7.1. Non-Refundable Digital Services: Due to the instant delivery nature of digital software and feature unlocks, all purchases for Paid Features and subscriptions are final and non-refundable once activated.
• 7.2. Subscription Cancellation: You may cancel recurring subscriptions at any time through your account preferences. Cancellation halts future auto-renewals; however, partial refunds are not provided for unused days within an active billing period.
• 7.3. Mandatory Consumer Rights: Nothing in this section shall override mandatory consumer protection rights granted under governing laws that cannot be contractually excluded.

8. User Content & Data Ownership

• 8.1. Data Ownership: You retain 100% full ownership of all text, guest lists, schedules, images, and event details you upload to the Platform ("User Content").
• 8.2. Operational License: By uploading User Content, you grant vited.io a worldwide, royalty-free, non-exclusive license to host, store, process, format, and display your data strictly for the operational purpose of delivering Platform functionality to you.
• 8.3. Aggregated Analytics: vited.io reserves the right to compile and analyze anonymized, non-personally identifiable usage statistics for performance optimization and software benchmarking.

9. Intellectual Property Rights

• 9.1. Proprietary Assets: vited.io and its licensors retain all rights, title, and legal interest in and to the Platform, including code, database structure, proprietary workflows, user interface designs, visual assets, and trademarks (including the vited.io logo).
• 9.2. Feedback Rights: Any suggestions, feature requests, or feedback you voluntarily provide regarding the Platform may be implemented by vited.io without financial compensation or royalty obligations to you.

10. Acceptable Use & User Conduct

You agree not to engage in, or assist others in committing, any of the following restricted actions:

• Reverse-engineering, decompiling, disassembling, or attempting to extract the source code of vited.io.
• Deploying automated scrapers, bots, spiders, or unauthorized data-mining tools on the Platform.
• Transmitting malware, viruses, trojan horses, or destructive computer code.
• Impersonating any individual or entity, or uploading deceptive, fraudulent, or illegal material.
• Circumventing, testing, or compromising any security mechanisms, firewalls, or access controls.

11. DMCA & Copyright Infringement Notice

If you believe that content hosted on vited.io infringes your copyright, please submit a formal Takedown Notice to vited.main@gmail.com containing:

• A physical or electronic signature of the copyright owner or authorized agent.
• A detailed description of the copyrighted work claimed to have been infringed.
• The exact URL or location of the infringing material on the Platform.
• Your current address, telephone number, and official email address.

12. Service Availability & Maintenance

• 12.1. Target Uptime: vited.io makes commercially reasonable efforts to ensure operational availability but does not guarantee 100% continuous uptime.
• 12.2. Scheduled Outages: Server maintenance, system updates, and emergency patches may temporarily restrict access to the Platform.
• 12.3. Outage Disclaimer: vited.io is not liable for event planning disruptions, delays, or losses resulting from temporary server downtime or internet service provider outages.

13. Data Protection & Privacy Compliance

• 13.1. Privacy Policy: Personal data collection and usage are governed by our official Privacy Policy.
• 13.2. Data Privacy Act (RA 10173): We process personal data in compliance with Republic Act No. 10173 (The Data Privacy Act of 2012 of the Philippines) and enforce administrative, physical, and technical safeguards to protect your personal information against unauthorized processing or loss.

14. Disclaimer of Warranties ("AS IS" & "AS AVAILABLE")

• 14.1. "AS IS" Provision: To the maximum extent permitted by applicable law, the vited.io platform and all paid features are provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.
• 14.2. Statutory Exclusion: vited.io explicitly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the platform will operate completely error-free or meet all your specific planning requirements.

15. Limitation of Liability

• 15.1. Indirect Damages: In no event shall vited.io, its founders, officers, employees, or affiliates be liable for indirect, consequential, special, punitive, or incidental damages (including loss of profits, loss of data, or event cancellation costs) arising out of or related to your use of or inability to use the platform.
• 15.2. Maximum Financial Cap: vited.io's total aggregate financial liability for all direct claims relating to the platform shall not exceed the total fees actually paid by you to vited.io in the three (3) months immediately preceding the incident giving rise to the claim.

16. User Indemnification

You agree to defend, indemnify, and hold harmless vited.io, its officers, directors, and employees from and against any third-party claims, legal losses, damages, liabilities, and expenses (including legal fees) arising out of or related to:

• Your breach of any provision within these Terms.
• The User Content you upload or publish through the Platform.
• Your violation of any third-party copyright, trademark, or privacy right.

17. Account Termination & Suspension

• 17.1. Termination by User: You may close your account and delete your stored data at any time via your account profile settings.
• 17.2. Termination by Company: vited.io reserves the right to suspend or permanently deactivate your account without prior notice if you breach these Terms, fail to pay applicable fees, or engage in activity harmful to the Platform or its users.
• 17.3. Effect of Termination: Upon account termination, your right to access the Platform ends immediately. vited.io may retain or purge stored data in accordance with its data retention and legal requirements.

18. Force Majeure

vited.io shall not be held liable or in default for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, public utility failures, cloud host infrastructure failures, cyberattacks, government mandates, epidemics, or civil unrest.

19. Governing Law & Jurisdiction

• 19.1. Applicable Law: These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law rules.
• 19.2. Dispute Forum: Any legal action, court dispute, or proceeding arising under or in connection with these Terms shall be instituted exclusively in the competent courts of the Philippines.

20. Revisions & Contact Information

• 20.1. Updates to Terms: vited.io reserves the right to revise these Terms at any time. When modifications are published, the "Last Updated" date at the top of this page will be revised. Continued use of vited.io following such changes constitutes acceptance of the updated Terms.
